2013 Coffee-mate® Mystery Shopper Sweepstakes

OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. The Coffee-mate® Mystery Shopper Sweepstakes (“Sweepstakes”) is intended for viewing and participation only in the 50 United States and the District of Columbia and shall be construed and evaluated according to United States law. Do not enter your foodservice operator in this Sweepstakes if it is not located and doing business in the United States. Sweepstakes begins at 12:00:00 a.m. Eastern Time (“ET”) on February 1, 2013, and ends at 11:59:59 p.m. ET on December 31, 2013 (“Sweepstakes Period”). The Sweepstakes Period is comprised of quarters, defined as follows:

Quarter 1: February 1 - March 31, 2013 (Authorized representatives may only register foodservice operators for Sweepstakes, as discussed below)

Quarter 2: April 1 – June 30, 2013

Quarter 3: July 1 – September 30, 2013

Quarter 4: October 1 – December 31, 2013

ELIGIBILITY:  Foodservice operators that are located and doing business in the 50 United States or the District of Columbia at the time of entry and that are registered members or have signed up as a new member of CMFeelTheLove.com are eligible to be entered in the Sweepstakes. Foodservice operator must be entered in the Sweepstakes by an authorized representative (who must be 18 years of age or legal age of majority, whichever is older; and, an authorized representative may only serve in such capacity for one (1) foodservice operator) possessing all necessary and appropriate right, power and authority to obligate foodservice operator for purposes of the Sweepstakes including complying with these Official Rules by waiving certain rights and undertaking certain responsibilities on behalf of the foodservice operator. BY SUBMITTING AN ENTRY, AUTHORIZED REPRESENTATIVE WARRANTS AND REPRESENTS THAT HE/SHE HAS ALL NECESSARY AND APPROPRIATE RIGHT, POWER AND AUTHORITY TO ENTER THE FOODSERVICE OPERATOR IN THE SWEEPSTAKES. Employees and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same household, whether or not related, of Nestlé Professional (“Sponsor”), its parent, affiliates, subsidiaries and participating advertising and promotion agencies cannot function as an authorized representative. By submitting an entry, authorized representative agrees (on behalf of foodservice operator and him/herself, as applicable) to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this Sweepstakes.  Sweepstakes is subject to all applicable federal, state and local laws. For the purposes of the Sweepstakes, an eligible foodservice operation shall mean a business entity that sells food to the public. This Sweepstakes is not available to vending or office coffee service operators, distributors, individual locations or company-owned or franchised multi-unit operations or nonprofit end users buying promotional products under bid or with special pricing.  All determinations regarding foodservice operator eligibility (including eligibility of authorized representative acting on behalf of foodservice operator) shall be made at Sponsor’s sole discretion and Sponsor’s decision(s) regarding foodservice operator eligibility shall be final. For the avoidance of doubt, all persons other than foodservice operator (as defined above) are NOT eligible for the Sweepstakes.

HOW TO ENTER:  An authorized representative of a foodservice operator (“Entrant”) may enter the foodservice operator during the Sweepstakes Period by visiting www.cmfeelthelove.com and accessing “2013 Promotions” page. 1) Log into the site or register as a new user on the site, 2) Go to the Mystery Shopper program area under “2013 Promotions” to register. After completing the registration form, Entrant must click the check box verifying they have read and agree to the Mystery Shopper Rules (“Official Rules”). ENTRY WILL NOT BE ACCEPTED AND FOODSERVICE OPERATOR WILL NOT BE ELIGIBLE TO WIN A PRIZE IF THIS BOX IS NOT CHECKED. Entrant must click “Enter Mystery Shopper” to be entered into the Mystery Shopper Sweepstakes.

After completing the registration process, Entrant will receive a confirmation message via email indicating that the applicable foodservice operator will receive a free Coffee-mate merchandising kit containing three Coffee-mate branded signs within approximately 3-4 weeks. Food service operators will be required to place at least one of the Coffee-mate merchandising signs in a prominent, public position in their operation to be confirmed as a quarterly winner if selected in a quarterly drawing, as discussed below.

Limit one (1) entry (and one (1) Coffee-mate merchandising kit) per foodservice operator during the Sweepstakes Period.

QUARTERLY DRAWING: On or about the first day following the completion of a quarter, one (1) foodservice operator will be randomly selected, pending verification of program requirements:  appropriately/properly displaying at least one (1) of the supplied three (3) signs from the Coffee-mate merchandising kit, as the quarterly winner by an independent judging organization (“Judges”) from all eligible entries received and processed by Sponsor and/or its agencies (resulting in foodservice operator’s receipt of Coffee-mate merchandising kit) up to and including the last day of the preceding quarter. Non-winning entries will roll over into subsequent quarterly drawing(s). Judges’ decisions are final and binding in all respects.  If a winner cannot be confirmed after foodservice operation visit by the mystery shopper, quarterly prize will be forfeited and may be awarded to an alternate winner, subject to verification and adherence with Official Rules, time permitting.

QUARTERLY PRIZES: Four (4) prizes (One (1) per quarter during the Sweepstakes Period). Winning foodservice operator will receive a $5,000.00 check to be used to help promote their own business.

Limit of one (1) prize per food service operator during Sweepstakes Period. For the avoidance of doubt, authorized representative has no rights to any prize personally.

Total ARV of all quarterly prizes is $20,000.00 USD.

ODDS OF WINNING: Odds of winning a prize depend upon the total number of eligible entries received/processed for a given quarterly drawing.

CLAIMING PRIZES: Potential winning (randomly selected) foodservice operation will be visited, unannounced, by a mystery shopper to confirm adherence to the program requirements:
  appropriately/properly displaying (1) or more of the supplied three (3) signs from the Coffee-mate merchandising kit. Upon confirmation, authorized representative (or a member of management team, if Entrant is not available for any reason) of foodservice operator will be notified that his/her operation has been selected as the winner for that quarter of the Sweepstakes Period. Winning foodservice operator must meet all eligibility requirements set forth in these Official Rules to qualify for a prize.

Properly claimed prizes will be awarded, provided a sufficient number of eligible entries are received and program requirements confirmed, but in no event will Sponsor award more prizes than provided for in these Official Rules. By participating, Entrants agree to be bound by the Official Rules of this Sweepstakes and the decisions of the Judges. By accepting prize, except where prohibited by law, winner agrees to the use of his/her name, address (city, state), likeness, voice, photograph and/or other indicia of persona for advertising/publicity/trade purposes by Sponsor and its designees without further compensation or notice.

The foodservice operator must be engaged in business at the time of notification by Sponsor that the foodservice operator is a Sweepstakes winner in order to be eligible to receive a prize. If foodservice operator is deemed ineligible or fails to satisfy any requirements set forth in these Official Rules, Sponsor may in its discretion disqualify the food service operator and prize will be forfeited and may be awarded to an alternate winner, subject to verification and adherence with Official Rules, time permitting.

PRIZE CONDITIONS:  Participation in Sweepstakes and receipt of prize (if applicable) is subject to foodservice operator’s written company policies regarding receipt of prizes/gifts from foodservice distributors and/or other third party entities. Any other expenses associated with prize acceptance and/or use not specified herein are each winner’s sole responsibility.  Where prize consists of multiple elements, prize must be accepted in its entirety or not at all. Winners may not substitute, assign or transfer prize, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value.  All prize details are at Sponsor’s sole discretion. Federal, state, as applicable, and local taxes, if any, are the sole responsibility of winning foodservice operation.

GENERAL CONDITIONS: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered, illegible, garbled or postage-due entries, mail or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes, or in any Sweepstakes-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.  Released Parties are not responsible for injury or damage to participants' (i.e. authorized representative’s/foodservice operator’s) or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website.  Persons who tamper with or abuse any aspect of the Sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sponsor will result in applicable foodservice operator being disqualified and all Entries associated with such foodservice operator will be void. Sponsor further reserves the right to seek all available remedies at law or in equity against such persons. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if suspended/modified/terminated, select the potential winners in a manner deemed by Sponsor, in its sole discretion, to be fair, appropriate and consistent with these Rules. Notice of such action by Sponsor will be posted on www.CMFeelTheLove.com.  Entrants, by participating, agree that Sponsor, its parent, affiliates, subsidiaries and participating advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes. Authorized representative of each winning foodservice operator (or a member of management team, if authorized representative is not available for any reason), by acceptance of prize on behalf of foodservice operator, except where legally prohibited, grants permission for Sponsor and its designees to use the applicable foodservice operator’s name, address (city and state), and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

DISPUTES: To the fullest extent permitted by law, entrant (authorized representative, on behalf of him/herself and foodservice operator, as applicable) agrees (a) that any and all disputes regarding the Sweepstakes or these Official Rules will be brought in federal or state court in Glendale, CA; (b) any disputes will be resolved individually (NOT as part of a class action); (c) his/her recovery in any such action shall be limited to actual out-of-pocket costs involved in participating in the Sweepstakes (if any), with all other rights to damages or other relief being expressly waived; and (d) that the court shall apply the law of California (other than choice of law/conflict of law principles) in adjudicating any such dispute.

By checking this box, Entrant also grants Nestlé Professional and it designees full, unrestricted ownership rights in the photo (i.e. 3) and statement (i.e. 4) submitted by Entrant when entering foodservice operator in Sweepstakes. ENTRY WILL NOT BE ACCEPTED AND FOODSERVICE OPERATOR WILL NOT BE ELIGIBLE TO WIN A PRIZE IF THIS BOX IS NOT CHECKED. Entrant must click “SUBMIT PHOTO & STORY.” You cannot edit your photo or story after clicking on the SUBMIT PHOTO & STORY button. Limit one (1) entry per foodservice operator during the Sweepstakes Period.

Photo and statement (collectively, “Submission”) must meet all of the following requirements (“Submission Requirements”) or Entry containing same will be disqualified:

Photo Guidelines:

  • The Submission must be in JPG, PNG or GIF format;
  • The Submission must not exceed 5 MB in size;
  • The Submission cannot have been submitted previously in a promotion of any kind or exhibited or displayed publicly through any means.

Content Restrictions:

  • The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • Entrant is to submit photo of themselves, but should any other individual or individuals appear in the photo, Entrant must have permission from all individuals that appear in the Submission (if any) to use their name and likeness in the Submission and to grant the rights set forth herein. If requested Entrant must be able to provide such permissions in a form acceptable to Sponsor;
  • The Submission must not disparage Sponsor, Administrator or any other person or party affiliated with the Sweepstakes;
  • The Submission must not contain brand names or trademarks other than those owned by Sponsor, which Entrant has a limited license to use to incorporate in his/her Submission in this Sweepstakes;
  • The Submission must not contain images or artwork not created by Entrant;
  • The Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous;
  • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
  • The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where Submission is created.

Use of a mobile device to submit entry may result in the imposition of charges by wireless carrier. Authorized representative is therefore advised to consult his/her wireless rate plan PRIOR TO using a mobile device to submit foodservice operator’s entry. Wireless internet access is not available on all mobile devices or wireless carriers or in all areas. Standard message and data rates may apply to use of mobile device for Sweepstakes entry.

All submissions will be reviewed for approval before they are posted, so please allow 5-7 days for your approved post to go live on this site. When Wall of Fame post goes live, the website will send an email alerting authorized representative. An email will also be sent if Submission does not meet Submission Requirements (as defined above). Submissions may be posted in any format, pattern, order or sequence (which may or may not be rotated) as determined by Sponsor in its sole discretion; Sponsor will also determine in its sole discretion the manner in which a given, posted submission is attributed to Entrant. If Sponsor determines that any foodservice operator content violates these Official Rules, the entry/submission will not be posted and the entry will be disqualified. All entries become the sole property of the Sponsor.

FOODSERVICE REWARDS® BONUS POINTS OFFER:  If Entrant submits an entry in the Sweepstakes, Foodservice operator will receive 250 Foodservice Rewards® Bonus Points (“Bonus Points”). Limit of 250 Bonus Points per foodservice operator during the Sweepstakes Period. Entrant will receive a bonus code in their confirmation email upon submission of an entry. Bonus Points will be awarded when foodservice operator registers bonus code at www.foodservicerewards.com by 01/31/2014. To receive Bonus Points, foodservice operator must be currently enrolled in the Foodservice Rewards® (“FSR”) program, or enroll in the FSR program as a new member by 01/31/2014. MONTHLY DRAWING:  On or about the first day of the month, one (1) foodservice operator will be selected at random as the monthly winner by an independent judging organization (“Judges”) from all eligible entries received up to and including the last day of the preceding calendar month (at 11:59:59 p.m. ET). Non-winning entries will roll over into subsequent monthly drawing(s). Judges’ decisions are final and binding in all respects. Provided that the content of an entry is determined to be in compliance with these Official Rules (and entry is otherwise eligible), content of entry will have no bearing on the winner selection process.

MONTHLY PRIZES: Twelve (12) Monthly Prizes (One (1) Per Month of Sweepstakes Period): $400 American Express®* Gift Card(s). Limit of one (1) monthly prize per foodservice operator per Sweepstakes Period. For the avoidance of doubt, authorized representative has no rights to any prize personally.

Total ARV of all monthly prizes is $4,800.00 USD.

CLAIMING PRIZES:  On or about the first day of each month, visit the Wall of Fame to find out if you are a potential winner. Winner notification will be available on the website for one month. If selected as a potential winner, Entrant must click “CLAIM YOUR PRIZE” (and log in to www.CMFeelTheLove.com, if not already logged in) to claim your prize. Entrant must claim prize within the month in which the prize was posted on the website. Unclaimed prizes will be forfeited and will not be awarded to an alternate winner.

Once potential winner has claimed the prize, Sponsor will attempt to notify each potential monthly winner by phone, email and/or overnight mail within seven (7) business days from prize claim date for each monthly Sweepstakes. Potential monthly Sweepstakes winner will be required to execute and return an Affidavit of Eligibility & Liability/Publicity Release (unless prohibited) within seven (7) days of date of notification. By accepting prize, except where prohibited by law, winner agrees to the use of his/her name, address (city, state), likeness, voice, photograph and/or other indicia of persona for advertising/publicity/trade purposes by Sponsor and its designees without further compensation or notice. Non-compliance with this requirement, or if prize/prize notification is returned as non-deliverable, if potential winner cannot be contacted within a reasonable time period or if potential winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited and will not be awarded to an alternate winner. The foodservice operator must be engaged in business at the time of notification by Sponsor that the foodservice operator is a potential Sweepstakes winner in order to be eligible to receive a prize.

Sponsor will ship the Monthly Prizes to the foodservice operator (c/o authorized representative) at the address submitted with the original entry within 30 days from verification. Sponsor is not responsible for loss, delay or damages due to shipping. Properly claimed prizes will be awarded, provided a sufficient number of eligible entries are received, but in no event will Sponsor award more prizes than provided for in these Official Rules. By participating, Entrants agree to be bound by the Official Rules of this Sweepstakes and the decision of the Judges.

Sponsor further reserves the right to seek all available remedies at law or in equity against such persons. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if suspended/modified/terminated, select the potential winners in a manner deemed by Sponsor, in its sole discretion, to be fair, appropriate and consistent with these Rules. Notice of such action by Sponsor will be posted on www.CMFeelTheLove.com.  Entrants (i.e. authorized representative on behalf of him/herself and foodservice operator, as applicable), by participating, agree that Sponsor, its parent, affiliates, subsidiaries and participating advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes. Authorized representative of each winning foodservice operator, by acceptance of prize on behalf of the foodservice operator, except where legally prohibited, grants permission for Sponsor and its designees to use the applicable foodservice operator’s name, address (city and state), and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval.

ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE WEBSITE (OR MOBILE WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

DISPUTES: To the fullest extent permitted by law, entrant (authorized representative, on behalf of his/herself and food service operator, as applicable) agrees (a) that any and all disputes regarding the Sweepstakes or these Official Rules will be brought in federal or state court in Glendale, CA; (b) any disputes will be resolved individually (NOT as part of a class action); (c) his/her recovery in any such action shall be limited to actual out-of-pocket costs involved in participating in the Sweepstakes (if any), with all other rights to damages or other relief being expressly waived; and (d) that the court shall apply the law of California (other than choice of law/conflict of law principles) in adjudicating any such dispute.

Q2 Feel The Love Deal: From April 1, 2013 through June 30, 2013 (the “Promotion Period”), the Q2 Feel the Love Deal “Feel the Love Deal” is open to foodservice operators who are registered members or sign up as a new member of CMFeelTheLove.com. During the Promotion Period, foodservice operators who apply and qualify for the Q2 Feel the Love Deal will receive one free case of any COFFEE-MATE® product listed on the Product page of this website, excluding COFFEE-MATE® Bulk Liquid Product (3/192 fl oz; Original, French Vanilla, Hazelnut) and COFFEE-MATE® Peppermint Mocha Flavor product (Liquid Creamer Singles 50 ct and Liquid Pump Bottle 1.5L) when they purchase one case of any COFFEE-MATE® product listed on the Product page of this website. Limit one free case per operator during the Promotion Period. Offer limited to the first 1,000 qualified operators.

All operators who qualify to receive the Feel the Love Deal will be sent a confirmation email with instructions on how to redeem the offer. Operators will be required to send a completed Redemption Form included in the confirmation email with legible copies of their distributor invoices or tracking reports showing required product purchased during the Promotion Period. Submit the completed forms described above to one of four options listed below. Request must be postmarked by 7/30/13.

Before submitting a request, please note the following additional requirements: The required products purchased and their date(s) of purchase must be circled or highlighted; no handwritten invoices or sales history receipts will be accepted; and validated distributor invoices or tracking reports must include the following information: Distributor name and address, operator name and address, product purchase date, Nestlé® SKU number or brand name, product description, pack sizes and price. All requests must be postmarked by 7/30/13.
